Terms
What we owe each other.
These are the terms your firm agrees to by using Nemosyne. They are short because the commitments we can keep at this stage are narrow, and we would rather write the narrow ones plainly than the broad ones vaguely. How we handle data is a separate document: our privacy policy. What the software does and does not enforce is a third: our trust page.
Effective 7 September 2026 · Version 1
Who this agreement is with
Nemosyne is operated by Nemosyne AI B.V., registered at Amsterdam, Noord-Holland, the Netherlands. Where these terms say we, they mean that company; where they say you, they mean the firm or organisation using the service, and everyone using it through that organisation.
By creating an organisation or using the service you accept these terms on behalf of your firm, and you confirm you are allowed to do that. This service is for organisations, not consumers. If your firm has signed a separate written agreement with us, that agreement wins wherever the two disagree.
What the service is
Nemosyne reads documents and records your firm connects to it, turns them into cited facts and summaries, and answers questions from them — through a web console and through AI assistants that connect over the Model Context Protocol. We grant you a non-exclusive, non-transferable right to use it for your firm’s own business, for as long as this agreement lasts.
The software, its design and everything we build remain ours. Nothing here transfers any of it to you, and nothing here stops us building or selling the same thing to anyone else.
Accounts and access
You decide who at your firm gets access and what they may reach; the service enforces that, but you set it. Keep credentials secret, tell us promptly if one is compromised, and remember that you are responsible for what the people you admit do with the service — including any AI assistant you connect to it under your credentials.
Where you connect a source such as Google Drive or SharePoint, you confirm you are entitled to connect it and to have its contents read by a service provider on your firm’s behalf.
Your content stays yours
Everything you connect, upload or create in the service — your documents, and the passages, facts and summaries derived from them — belongs to you. We claim no ownership of any of it.
You give us only the permission we need to run the service for you: to store your content, to process it, and to send the parts that need reading to the service providers named in our privacy policy. That permission exists to operate the service and for nothing else. We do not train models on your content, we do not use one customer’s content to serve another, and that is a term of this agreement and not only a policy.
What you may not do with it
- Connect material you have no right to connect, or that you are contractually or legally barred from disclosing to a processor.
- Use the service to break the law, to infringe someone’s rights, or to build a profile of a person for a purpose they would not expect.
- Attack it: probe or test its security without our written permission, try to reach another customer’s data, or work around the limits and permissions it enforces.
- Resell it, run it as a service for someone else, or copy it in order to build a competing product.
- Load it deliberately beyond what your plan provides, or automate against it in a way designed to degrade it for others.
If something you do puts the service or another customer at risk, we may suspend access to stop it. We will tell you why, and restore it as soon as the cause is resolved.
Pilots and early access
If your firm is on a pilot, a trial or an early-access arrangement, it is free for the agreed period and either of us may end it at any time, for any reason, with reasonable notice. During it the service may change, break, or lose a feature you were relying on. No availability commitment applies to a pilot, and the disclaimers in section 10 apply with full force.
What we ask in return is the feedback the arrangement was made for. You are free to give it or not, and if you tell us how to make the product better, we may act on that without owing you anything — but nothing in your feedback gives us any right to your content.
Fees and billing
Paid plans are billed through Stripe on the plan you chose, in advance for the subscription and in arrears for usage above what the plan includes. Fees exclude VAT and any other tax, which you pay on top where it is due. Payments are non-refundable except where the law says otherwise.
If a payment fails we will tell you and give you a chance to fix it before restricting access. We may change prices with at least 30 days' notice before your next renewal; if you do not accept the change, you may end the agreement at that renewal.
Confidentiality
Each of us will keep the other’s confidential information confidential, use it only for this agreement, and protect it at least as carefully as our own. Your content is your confidential information. This does not cover anything already public, independently developed, or lawfully received from someone else — and either of us may disclose where the law compels it, telling the other first unless we are forbidden from doing so.
Availability and support
We work to keep the service available and we will tell you about planned maintenance where we reasonably can. We do not offer a service level agreement today, and we would rather say so than imply one. If your firm needs uptime, response times or a support commitment in writing, ask us and we will agree them separately.
Support during a pilot is direct, from the people building the product, by email at [email protected].
Accuracy, and what a citation proves
This is the clause not to skim. Nemosyne reads documents with language models, and language models are wrong sometimes. Every sentence it produces carries a citation, and every citation opens a real passage the system itself selected — a reference to something that does not exist cannot survive.
What a citation does not establish is that the passage supports the sentence. The model chooses which real passage each sentence carries, and it can choose one that does not say the same thing. The check is the one the citation was built for: open it and read it. Nemosyne is a tool for finding and assembling your firm’s own record. It is not advice, and it is not a substitute for the professional judgment of the person relying on it. Decisions made from an answer are yours.
Beyond that, and to the extent the law allows, the service is provided as is: we make no warranty that it will be uninterrupted, error-free, or fit for a particular purpose, and we disclaim the warranties the law would otherwise imply. Nothing here excludes liability that cannot legally be excluded — including for death or personal injury caused by negligence, or for fraud.
Liability
Neither of us is liable to the other for indirect or consequential loss, for lost profits, lost revenue, lost business or lost goodwill, or for loss of data beyond our obligation to keep it as described in the privacy policy — however it arises.
Each party’s total liability under this agreement is capped at the fees you paid us in the twelve months before the claim. During a free pilot that figure is zero, and we would rather you knew that than discovered it — if your firm needs a meaningful liability position, that is a conversation to have before you rely on the service, not after.
These limits do not apply to your obligation to pay fees, to either party’s breach of confidentiality, or to liability that cannot be limited by law.
Ending it, and getting your data out
You may stop using the service and delete your organisation at any time. Either of us may end this agreement on 30 days' written notice, or immediately if the other commits a material breach and does not fix it within 30 days of being told.
Your content remains available for export while your organisation exists. Ask us before you delete it, because deletion is thorough: it drops your organisation’s database schema and object-store prefix, and what survives is listed in the privacy policy. We do not hold your data hostage over a dispute, and we do not delete it as a bargaining position.
Changes
We improve the service continuously, and features may change. We will not materially reduce what a paid plan provides during a term you have already paid for.
We may update these terms; we will change the date at the top and raise the version, and tell customers directly about any material change at least 30 days before it takes effect. Continuing to use the service after that is acceptance. If you do not accept, you may end the agreement.
Governing law
This agreement is governed by the law of the Netherlands, and its courts have exclusive jurisdiction over any dispute — without affecting any right you have under the mandatory law of the place where you are established. If a clause turns out to be unenforceable, the rest stands.
Neither of us may transfer this agreement without the other’s consent, except to a successor of the whole business. Nothing here creates a partnership, and nobody other than you and us can enforce it.
